1. Who you are contracting with

These Terms govern your use of Contractor Bid Hub (the "Service"), operated by Contractor Bid Pro LLC ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. Authority and accuracy

If you are using the Service on behalf of a business, you represent that you have authority to bind that business. You agree to provide accurate information and keep your account information current. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. The Service

Contractor Bid Hub is a software-as-a-service product for contractors to manage bids, estimates, proposals, change orders, customers, and a unit pricing library. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have subscribed to.

4. Acceptable use

You must not misuse the Service. In particular you must not:

  • Use the Service in violation of any law or regulation;
  • Engage in fraud, spam, or deceptive practices;
  • Infringe anyone's intellectual property or other rights;
  • Probe, scan, scrape, or otherwise interfere with the security or integrity of the Service or attempt to introduce malware;
  • Reverse engineer, resell, or redistribute the Service;
  • Circumvent technical limits, rate limits, or paywalls.

5. Intellectual property

We retain all right, title, and interest in and to the Service, including all software, documentation, design, and branding. Nothing in these Terms transfers any IP to you. You retain ownership of content you upload (bids, blueprints, customer data); you grant us a limited license to host and process that content solely to provide the Service to you.

6. Payment and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

Subscriptions renew automatically at the end of each billing period until canceled. You can cancel from your account at any time; access continues until the end of the paid period.

7. Service level and warranties

We work hard to keep the Service available, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose. You are responsible for verifying your own estimates, proposals, and bid amounts before submitting them to customers.

8. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is not permitted by law.

9. Indemnity

You will indemnify us against any third-party claim arising from your content, your use of the Service in violation of these Terms, or your violation of law.

10. Suspension and termination

We may suspend or terminate your access for: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination you may export your data within 30 days; after that we may delete it.

11. Changes

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Contractor Bid Pro LLC is established, without regard to conflict of laws principles. Disputes will be brought in the competent courts of that jurisdiction.
